These LegalMate Checkout Terms of Service (the “Checkout Terms”) govern your subscription to the LegalMatesoftware-as-a-service platform (the “Service”). By completing your purchase, you, on behalf of your law firm, company, or other legal entity (“Customer” or “you”), enter into a legally binding agreement with LegalMate Inc. (“LegalMate,” “we,” or “us”).

1. The Complete Agreement

Your subscription to and use of the Service is governed by a comprehensive set of legal documents (collectively, the “Agreement”). These Checkout Terms are a summary for your convenience at the point of sale. The full Agreement consists of the following documents, which are incorporated by reference into your purchase:

Please review these documents carefully. In the event of any conflict between these Checkout Terms and the Main Services Agreement, the terms of the Main Services Agreement will prevail.

2. Subscription, Billing, and Payment

Your subscription to the Service is for the term selected on the checkout page and is billed on a recurring basis.

● Recurring Billing: By providing a payment method, you authorize LegalMate and our third-party payment processor to charge your payment method on a recurring basis for the subscription fees specified at the time of purchase, plus any applicable taxes.

● Automatic Renewal: Your subscription will automatically renew for successive periods equal to your initial subscription term unless you cancel your subscription prior to the renewal date.

● Authority: You represent and warrant that you have the legal authority to bind the Customer to the Agreement and to authorize charges to the selected payment method on its behalf.

3. Cancellation and Refunds

As set forth in the Main Services Agreement, all payment obligations are non-cancelable and fees paid are non-refundable.

You may cancel your subscription at any time through your account settings or by contacting our support team. Your cancellation will become effective at the end of your current, prepaid billing period. You will continue to have access to the Service until that time.

4. Acceptance of Terms

By clicking the purchase button and completing your transaction, you, on behalf of the Customer entity you represent, acknowledge that you have read, understood, and agree to be legally bound by these Checkout Terms and the entire Agreement, including the Main Services Agreement, Data Processing Addendum (incorporating the Security Exhibit), and Service Level Agreement.
